These Terms constitute a legally binding agreement between you and Eventrix ("we," "us," or "our"). We reserve the right to update these Terms at any time, and your continued use of the Services constitutes acceptance of any changes.

Eventrix is an online marketplace that connects customers seeking event services with qualified vendors. Our Services include:

  • Vendor directory and search functionality
  • Vendor profile pages and galleries
  • Inquiry and communication tools
  • Review and rating system
  • Booking and payment facilitation (when applicable)

Eventrix acts as a platform connecting parties but is not a party to any agreements between customers and vendors.

3. User Accounts

3.1 Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access
  • Be responsible for all activities under your account

3.2 Account Types

Customer Accounts: Free accounts for individuals seeking event services.

Vendor Accounts: Subscription-based accounts for businesses offering event services. Vendors must complete an application process and meet our verification requirements.

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a risk to other users.

4. Vendor Responsibilities

If you are a vendor, you additionally agree to:

  • Maintain all necessary licenses, permits, and insurance
  • Provide accurate descriptions of your services
  • Honor all pricing and availability information posted
  • Respond to customer inquiries in a timely manner
  • Deliver services as described and agreed upon
  • Comply with all applicable laws and regulations
  • Pay all applicable fees and commissions

5. Customer Responsibilities

If you are a customer, you agree to:

  • Provide accurate event details and requirements
  • Communicate clearly and professionally with vendors
  • Honor any commitments or agreements made
  • Pay vendors according to agreed terms
  • Leave honest, fair reviews based on your experience

6. Prohibited Conduct

You may not:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Post false, misleading, or deceptive information
  • Harass, threaten, or abuse other users
  • Attempt to circumvent platform fees
  • Use automated systems (bots, scrapers) without permission
  • Transmit viruses, malware, or harmful code
  • Impersonate another person or entity
  • Collect user data without consent
  • Interfere with the proper functioning of the Services

7. Payments and Fees

7.1 Vendor Subscription Fees

Vendors must pay subscription fees according to their chosen plan. Fees are non-refundable except as required by law. We reserve the right to change fees with 30 days' notice.

7.2 Transaction Fees

For bookings processed through our platform, we may charge transaction fees. All fees will be clearly disclosed before completion.

7.3 Payment Processing

Payments are processed by third-party payment processors. You agree to their terms and privacy policies. We are not responsible for errors or delays in payment processing.

8. Intellectual Property

All content on Eventrix, including text, graphics, logos, images, and software, is owned by or licensed to Eventrix and protected by copyright, trademark, and other intellectual property laws.

By posting content on our platform, you grant Eventrix a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display that content in connection with operating the Services.

You retain ownership of your content and are responsible for ensuring you have the rights to post it.

9. Reviews and Ratings

Our platform allows customers to leave reviews. Reviews must be:

  • Based on genuine experiences
  • Honest and fair
  • Free from profanity or personal attacks
  • Relevant to the service provided

We reserve the right to remove reviews that violate these guidelines or our policies.

10. Disclaimers and Limitations of Liability

10.1 Service "As Is"

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION.

10.2 Third-Party Services

We are not responsible for the quality, safety, or legality of services provided by vendors. We do not guarantee any results from using our Services.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVENTRIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR OPPORTUNITIES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE PAST 12 MONTHS OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Eventrix and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Services, violation of these Terms, or infringement of any rights of another party.

12. Dispute Resolution

12.1 Between Users

Disputes between customers and vendors should be resolved directly between the parties. Eventrix may provide assistance but is not obligated to do so.

12.2 Arbitration

Any disputes with Eventrix shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or platform notice. Continued use after changes constitutes acceptance of the new Terms.
